Terms of Service

By accessing or using the Nohi platform ("Platform"), including our website, APIs, SDKs, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and Nohi, Inc. We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the revised Terms.

"AI Agent" refers to any automated software program or artificial intelligence system that interacts with the Platform to discover, evaluate, or purchase products and services.

"Seller" refers to any individual or entity that lists products or services for sale on the Platform.

"Buyer" refers to any individual, entity, or AI Agent that purchases products or services through the Platform.

"Content" refers to any text, images, data, product listings, reviews, or other materials uploaded, submitted, or made available through the Services.

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify Nohi of any unauthorized use of your account.

You must be at least 18 years old or the age of majority in your jurisdiction to create an account. By creating an account, you represent and warrant that you meet this requirement.

As a Seller, you grant Nohi a non-exclusive, worldwide license to display, distribute, and promote your product listings through the Platform, including to AI Agents.

You are solely responsible for the accuracy of your product listings, pricing, fulfillment, and compliance with applicable laws. Nohi does not guarantee any sales volume or revenue.

Nohi charges a commission on each completed transaction, the rate of which will be communicated to you prior to listing. Nohi reserves the right to adjust commission rates with 30 days written notice.

You agree to fulfill all orders promptly and in accordance with the specifications listed. Failure to fulfill orders may result in account suspension or termination.

The Platform is designed to facilitate transactions initiated by AI Agents. By using the Platform, you acknowledge and consent to interactions with AI Agents that may browse, evaluate, and purchase products or services on behalf of their operators.

Nohi does not control the behavior of third-party AI Agents and is not liable for purchasing decisions, errors, or actions taken by AI Agents on the Platform.

Sellers agree to provide machine-readable, structured product data to enable AI Agents to make informed purchasing decisions. Nohi may generate additional metadata from your listings to improve agent discoverability.

Access to the Nohi API is subject to rate limits, authentication requirements, and usage policies. API keys are confidential and must not be shared or exposed in client-side code.

You may not use the API to scrape, reproduce, or redistribute Platform data, or to interfere with the operation of the Platform. Nohi reserves the right to revoke API access for violations.

The API is provided on an as-is basis. Nohi may modify, deprecate, or discontinue API endpoints with reasonable notice. We will make commercially reasonable efforts to maintain backward compatibility.

All transactions are processed through our third-party payment providers. By making or receiving payments through the Platform, you agree to the applicable payment provider's terms.

Sellers will receive payouts on a bi-weekly schedule, subject to a minimum payout threshold. Nohi reserves the right to withhold payouts in cases of suspected fraud or Terms violations.

All fees and prices are displayed in USD unless otherwise specified. You are responsible for any applicable taxes, duties, or charges related to your use of the Services.

The Platform, including its design, code, branding, and documentation, is the intellectual property of Nohi, Inc. and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of Content you submit to the Platform. However, you grant Nohi a license to use, display, and distribute such Content as necessary to provide the Services.

You may not use Nohi's trademarks, logos, or branding without prior written consent, except as expressly permitted in our Brand Guidelines.

You may not use the Services for any unlawful purpose, or to sell products or services that violate applicable laws or regulations.

You may not attempt to gain unauthorized access to any part of the Platform, reverse engineer the Services, or interfere with security features.

You may not engage in price manipulation, fake reviews, artificial transaction inflation, or any other deceptive practices. Violations may result in immediate account termination.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. NOHI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOHI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

NOHI'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO NOHI IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Either party may terminate these Terms at any time by providing written notice. Nohi may suspend or terminate your account immediately for violations of these Terms.

Upon termination, your right to access the Services ceases immediately. Sections relating to intellectual property, limitation of liability, and dispute resolution survive termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Wilmington, Delaware.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Nohi.
